Terry K. Quan is a Partner and Co-Founder of Foundation Law Group LLP.

Terry brings his clients an unparalleled combination of legal and business experience, having served both as outside general counsel and senior in-house counsel for public and private companies and as a senior business development executive for companies launching and growing businesses at the nexus of media and technology.

Terry’s practice focuses on general corporate representation, primarily for digital media, entertainment and technology companies, with an emphasis on the licensing, distribution, development and deployment of intellectual property such as film and television programs, video games (console, online, mobile), interactive applications (including OTT services) and software services.  He has extensive experience with international joint ventures, mergers and acquisitions, cross-border transactions, corporate financing (equity and debt) and secured transactions.

Before Foundation Law Group, Terry was Senior Vice President, Business Development, at Vivendi Games, responsible for launching and growing start-up mobile games and online games business units, through acquisitions and process/project implementation.   After the creation of Activision Blizzard (resulting from the merger of Activision and Vivendi Games), he oversaw the successful divestiture of multiple business units and assets worldwide.   Prior to Vivendi Games, he was Vice President, Corporate Development and Strategic Planning for Gemstar TV Guide International (now Rovi), where he cultivated and carried out global initiatives for linear and on-demand programming services as well as interactive television applications.  Previously, he was Senior Vice President, Business Development and Strategy, at Universal New Media Group (now NBC Universal), where he developed video-on-demand and digital business strategies utilizing film and television properties, launched thematic on-demand services, and closed linear network carriage agreements with European platform operators.  Prior to Universal, he was a business development executive at Microsoft Corporation, increasing the adoption of Windows Media by digital properties controlled by broadcast and cable networks, professional sports leagues and news organizations.

Prior to his career in business development, Terry was in-house counsel at 20th Century Fox Film Corporation, where he handled international pay and free television distribution agreements (focused on Asia Pacific, Europe, Middle East and Africa), satellite platform joint ventures in Latin America and Europe, and channel carriage agreements.   Before 20th Century Fox, he was a corporate and securities lawyer with Riordan & McKinzie in Orange County (now Bingham McCutchen) and Brobeck, Phleger & Harrison in Palo Alto and Los Angeles, where he closed a high volume of venture capital financings and IPOs while representing companies in various industries, such as computer software and hardware, media, semiconductors, and life sciences (biotechnology, pharmaceuticals and healthcare).

Currently, Terry also serves as Senior Vice President, Business and Legal Affairs, Worldwide Television and Digital Distribution, at Lions Gate Films (after spending six years at Starz Entertainment, LLC and following the merger between Lions Gate  and Starz), where he handles worldwide licensing of home video, linear, on-demand and EST/TVOD rights for film and television programming.    His experience includes negotiating and drafting multi-territory deals with the likes of Netflix and Amazon as well as numerous territory specific output deals with major multichannel platform operators and telecommunications companies.

Terry received his Juris Doctor from U.C. Berkeley, School of Law and is admitted to practice law in California.  He graduated Magna Cum Laude in both Philosophy and Business Administration from the University of Southern California, where he is a member of Phi Beta Kappa.
